Damages
A credit card is to be held on file until after the event for any damages as well as any overages. This card will not be charged unless the above mentioned has occurred -the client will be immediately notified prior to any charges.
Cancellation Policy
If the event is cancelled less than 60 days prior to the event, no portion of the fees paid will be returned. If he event is cancelled more than 60 days prior to the event, any unused funds can be utilized towards another event should the date be available.
Support Services
Diva T Diamond Events represents and warrants to the Client that it has the experience and the ability to perform the services required by this Agreement; that it will perform said services in a professional, competent and timely manner, that it has the power to enter into and perform this Agreement; and that its performance of this Agreement shall not infringe upon or violate the rights of any third party or violate any federal, state, and municipal laws. However, the Client will not determine or exercise control as to general procedures or formats necessary to have these services meet Client's satisfaction.
Non-Payment
In the event of non-payment, Diva T Diamond Events reserves the right to attempt collection through all legal and permissible means. Client will be responsible for all court fees, legal fees, and collection costs incurred by Diva T Diamond Events. It is further agreed and understood that the Client shall be charged $50.00 for each check returned plus a $30.00 service charge for each collection notice.
Termination
This agreement shall terminate automatically upon completion of the event on the date stated previously in this agreement. This agreement cannot be cancelled except by mutual written consent of both the Client and Diva T Diamond Events. If cancellation is initiated by the Client in writing and agreed to by Diva T Diamond Events, the client will be required to pay an unrecoverable cost already incurred by Diva T Diamond Events (but not more than the total fee agreed upon). Client shall pay and/or forfeit any cancellation charges incurred by the service providers. Any event cancelled 60 days or less prior to the event date will result in no refund and a forfeit of any fees that have been paid to Diva T Diamond Events or Service Providers.
Relationship of Parties
It is understood by the parties that Diva T Diamond Events is an independent contractor and not an employee of the Client. The Client will not provide fringe benefits, including health insurance benefits, paid vacation, or any other employee benefits.
Disclosure
It is hereby agreed and understood that the laws of the state of Nevada shall govern this agreement, Diva T Diamond Events agrees to defend, indemnify, assume liability for and hold the Client harmless from any and all claims, demands, damages, losses, suits, proceedings, penalties, expenses or other liabilities including attorney fees and court costs, arising out of or resulting from the performance of this contract, regardless of the basis(except for gross negligence on the part of Diva T Diamond Events). Client may not transfer this contract to another party without the prior written consent of Diva T Diamond Events, and as such Diva T Diamond Events may not transfer to another Vendor/Service Provider without prior written consent of the client.
Employees
Any employees, or contracted providers, if any, who performs services for Diva T Diamond Events under this Agreement shall also be bound by the provisions of this Agreement.
Injuries/Insurance
Diva T Diamond Events and all Service Providers necessary for the successful completion of this event shall hold and maintain any and all insurances required by the state and/or venues. General Liability Insurance is currently available up to $1,000,000.00(one million dollars).
Confidentiality
It is the policy of Diva T Diamond Events that all client information, including client names, guests, files, and records are to remain confidential and is not to be divulged beyond the staff of Diva T Diamond Events. All client files are to be kept in a secure location protected from improper disclosure. In consideration for the disclosure of the Information, the Client agrees that they will not at any time or in any manner, either directly or indirectly, use any information for its own benefit, or divulge, disclose, or communicate in any manner any Information to any third party without prior written consent of Diva T Diamond Events. As such, Diva T Diamond Events will protect the Information and treat it as strictly confidential.
Unauthorized Disclosure of Information If it appears that the Client has disclosed (or has threatened to disclose) Information in violation of this Agreement, Diva T Diamond Events, Inc. shall be entitled to an injunction to restrain the Client from disclosing, in whole or in part, such Information, or from providing any services to any party to whom such Information has been disclosed or may be disclosed. Diva T Diamond Events, Inc. shall not be prohibited by this provision from pursuing other remedies, including a claim for losses and damages.
Notices
All notices required or permitted under this Agreement shall be in writing and shall be deemed delivered when delivered in person and/or deposited in the United States mail, postage prepaid, addressed as follows: - costs - discounts - future - business affairs - process information - trade secrets - technical information - customer lists - copyrights - product design information. Such address may be changed from time to time by either party by providing written notice to the other in the manner set forth above.
Entire Agreement
The contract contains the entire agreement of the parties and there are no other promises or conditions in any other agreement whether oral or written. This Agreement supersedes any prior written or oral agreements between the parties. This agreement is not binding until received and signed by the Client and Diva T Diamond Events, Inc. Any changes must be written and signed by both the Client and Diva T Diamond Events, Inc. Oral agreements are non-binding. The latest contract supersedes all previous contracts between Client and the Diva T Diamond Events, Inc. for the event listed above. Diva T Diamond Events, Inc. may elect not to exercise the rights specified in this agreement. By doing so, Diva T Diamond Events, Inc. does not waive their right to exercise those rights at a future date.
Amendment
This Agreement may be modified or amended if the amendment is made in writing and signed by both parties.
Severability
f any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.
Waiver of Contractual Right
Failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement.
Applicable Law
This Agreement shall be governed by the laws of the State of Nevada.
Interruption of Service
Either party shall be excused from any delay or failure in performance required hereunder if caused by reason of any occurrence or contingency beyond its reasonable control, including, but not limited to, acts of God, acts of war, fire, insurrection, laws proclamations, edits, ordinances or regulations, strikes, lock-outs or other serious labor disputes, riots, earthquakes, floods, explosions or other acts of nature. The obligations and rights of the party so excused shall be extended on a day-to-day basis for the time period equal to the period of such excusable interruption. If such circumstances arise, all reasonable efforts will be made by Diva T Diamond Events, Inc. to find comparable replacement event planning at the agreed upon fees. When such events have abated, the parties' respective obligations hereunder shall resume. In the event that Diva T Diamond Events, Inc. is unable to procure a replacement, Client shall receive a full refund of all fees less the non-refundable deposit paid to Diva T Diamond Events, Inc. Client agrees that in all such circumstances, the “Diva T Diamond Events, Inc.’s” liability shall be exclusively limited to refunding the fees paid and that the Diva T Diamond Events, Inc. shall not be liable for indirect or consequential damages arising from any breach of this contract.
It is hereby agreed and understood that Diva T Diamond Events in exchange for remuneration as set forth in the proposal will provide the following services – Event Planning, which will include planning in all stages, procuring any vendors, venue, service providers, staffing, equipment, Decorations, and Catering.

SQUARESPACE - in order to operate the website
GOOGLE ANALYTICS– to process website analytics
MAILCHIMP - in order to provide an email newsletter
WIX Payment Services- in order to use the services of an external accounting office which processes the data included in invoices
AISLE PLANNER- in order to process the data included in invoices and process order payments via ACH or Stripe.
In connection with the use of these third-party entities, personal data may be transferred to another country.
7. Security
We follow generally accepted industry standards to protect the personal information submitted to us, both during transmission and once we receive it. However, no method of transmission over the Internet, or method of electronic storage, is 100% secure. Therefore, we cannot guarantee its absolute security. In the event of a data breach, you will be notified within 72 hours.
8. A Note About Children
We do not intentionally gather personal information from visitors under the age of 13.
If a child under 13 submits personal information to us and we learn that the personal information is the information of a child under 13, we will attempt to delete the information as soon as possible.
